OptoWork General Terms & Conditions

Welcome to OptoWork, the UK platform connecting optical practices with qualified optical professionals. These Terms & Conditions ("Terms") govern your access to and use of the OptoWork website and services ("the Platform"). Please read carefully before using or registering.

1. Definitions

  • "User": Any individual or entity (e.g., Optometrist, Dispensing Optician, Clinic Manager) who accesses the Platform.
  • "Service": All features on the Platform including job listings, shift booking, messaging, account management.
  • "Early Adopter Offer": Promotional free access from 1 July 2025 to 31 July 2026 (or longer at admin discretion).
  • "Platform Access": Creating and maintaining an account on OptoWork.

2. Free Access & Charges

  • 2.1 OptoWork is currently free of charge to all users under the Early Adopter Offer.
  • 2.2 There are no current fees for using the Service.
  • 2.3 OptoWork may introduce fees in the future, at any time, without notice, to cover costs (e.g., hosting, maintenance, compliance).
  • 2.4 Such charges are at OptoWork Admin's sole discretion and may apply to existing users. Continued use may signify acceptance of fees.

3. User Accounts & Conduct

  • Users must provide accurate and truthful information during registration.
  • Users remain responsible for maintaining the confidentiality of their credentials.
  • Users agree not to misuse the Platform (e.g., spamming, fake profiles, bots).
  • OptoWork may suspend or terminate any account suspected of violation or misuse.

4. Platform Content & Use

  • The Service is provided "as is" without warranties. This includes any updates, future, past or present.
  • OptoWork does not guarantee availability, accuracy, timeliness, or suitability of content.
  • Users rely on the Platform at their own risk.
  • OptoWork may suspend access for maintenance or reasons deemed necessary.

5. Indemnity & Liability

Users expressly agree that:

  • OptoWork and its subsidiaries (past/present), officers, directors, employees, agents, contractors, partners, promoters, developers, supporters, and all persons directly or indirectly involved are not liable for any:
    • Direct, indirect, special, punitive, incidental or consequential damages (e.g., employment, financial loss, physical injury, mental distress, data loss).
    • Disputes between Users, or outcomes of shifts, including cancellations or non-payments.
    • Technical failures, errors, delays, or interruptions.
  • Users shall indemnify and hold harmless OptoWork and all related individuals or entities from any claims, damages, losses, liabilities, costs (including legal fees), resulting from:
    • Use or misuse of the Platform;
    • Breaches of these Terms;
    • Employment, tax, or contract disputes;
    • Promotional or referral activities.

This indemnity covers claims by any third-party, including HMRC, IR35 investigations, employment tribunals, or professional bodies.

6. Employment, Tax & IR35

  • All Users are responsible for their own employment status, National Insurance, income tax, and IR35 compliance.
  • OptoWork makes no determination of employment status and assumes no liability.
  • Users agree to hold harmless OptoWork (and associates) from any HMRC or tribunal claims arising from their use of the Platform.
  • OptoWork will decline to get involved in any tax disputes arising from the use of the platform. As per HMRC guidance the onus is on the individual providing their services as well as the organisation or business that will pay the individual via their own agreed methods which is outside the control and current scope of the OptoWork platform.

7. Privacy & Data Protection

  • OptoWork processes personal data under the UK GDPR and Data Protection Act 2018.
  • Our Privacy Policy outlines how we collect, use, and protect data, including rights of access, correction, and erasure.
  • Data is stored securely and retained only as necessary to operate the Service or as legally required.
  • Users authorize OptoWork to share personal data with other Users (e.g., practice info shared with staff) as necessary for Platform functionality.
  • The Data Controller is OptoWork Admin who can be contacted by emailing: admin@optowork.co.uk this includes any Subject Access Requests etc.

8. Intellectual Property

  • All Platform content (designs, trademarks, text, code) is the property of OptoWork.
  • Users may not copy, distribute, or create derivative works without written consent.
  • Users retain ownership of data they upload but grant OptoWork a license to use it to provide the Service.

9. Termination

  • OptoWork may suspend or terminate your access for violation, misuse, or at admin's discretion.
  • Users may delete their account at any time by emailing admin@optowork.co.uk
  • On termination, your rights under these Terms cease except for indemnity obligations and liability disclaimers which survive.

10. Changes to Terms

  • OptoWork reserves the right to change or update these Terms at any time without notice.
  • Users should check for changes regularly. Continued use after modifications implies acceptance.
  • New Terms apply immediately upon posting. Be sure to check this page regularly, before continuing to use or starting to use the platform.

11. Governing Law & Dispute Resolution

  • These Terms are governed by English law, and subject to the non-exclusive jurisdiction of the courts of England & Wales.
  • Disputes should first be addressed via OptoWork's internal dispute resolution process before formal legal steps.
